SUBMISSION AGREEMENT
1. Purpose. By
submitting a story, idea, or other bits of wisdom (the "Submission") via
this Web site, I wish that the Submissions will be considered by Kevin
Lee for the planned book.
2. Grant. I hereby grant to Kevin Lee following rights, on a
perpetual, irrevocable, royalty-free, worldwide, and transferable basis:
a) to edit, modify, add to or delete any components of the Submission and
to combine the Submission with any and all other content that Kevin
Lee choose; b) to use, copy, display, perform, distribute, license,
rent and sell the Submission, and any modifications thereof, in any and
all manner and media; and c) to sublicense any or all of the foregoing
rights, including the right to sublicense such rights to further third
parties.
3. Discounted Copy if Submission Used in Book. In consideration of
the Submission and my promises hereunder, Kevin Lee will consider my
Submission for inclusion in the planned book. If they decide to include my
Submission in the book, Kevin Lee shall offer to me a discounted
copy of the book, signed by Kevin Lee. I understand that I will
not receive nor be entitled to any additional consideration for my
Submission.
4. Warranty. I represent and warrant that the Submission or use of
the Submission, as licensed herein, will not violate any right or interest
of any third party, including without limitation third party intellectual
property rights or rights of privacy or publicity.
5. General Terms. I also agree to that the following terms and
conditions apply: a) I expressly waive, release and discharge Kevin
Lee, its agents, employees, licensees and assigns from and against any
and all claims, demands or liabilities of any and every nature, arising at
any time from or in connection with modification, distribution, display,
performance, promotion or use of the Submission; b) this agreement
reflects the entire understanding between the parties, and supersedes any
prior oral or written agreement on such subject matter and cannot be
modified without the written consent of both parties; c) this agreement
shall be binding upon my successors, assigns, licensees and all other
persons, firms and entities claiming under or through Individual; d) this
agreement shall be governed by the laws of the state of Florida; e) MEDIATION: In the event a dispute shall arise between the parties to
this contract, the parties agree to participate in at least four hours of
mediation in accordance with the mediation procedures of United States
Arbitration & Mediation (USA&M). The parties agree to share equally in the
costs of the mediation. The mediation shall be administered by a local
Broward County USA&M office to be designated by USA&M National
Headquarters; and f) I agree that any dispute arising hereunder shall as a
last resort be adjudicated by the state or federal courts sitting in
Broward County, Florida, and I expressly agree to jurisdiction and venue
therein.
6. Contact Information. Kevin Lee agrees that it will only use
my name, address or other contact information provided with the Submission
in this Web page to (a) contact me regarding Individual's Submission and
the potential inclusion of the Submission in the book. Kevin Lee shall
not share my contact information with third parties (other than in
relation to the production, distribution and promotion of the book)
without my permission.
